Prohibited Use Policy

This Copperx Prohibited Use Policy (the “Prohibited Use Policy”) applies to all products, services, offerings, platforms or technologies provided by Piers Technology Inc. (“Copperx”, “we” or “us”), whether provided directly by us or through any partnership, integration, or co-branding arrangement (“Copperx Offerings”). “You” and “your” mean the person or legal entity that is applying for, accessing, or using any Copperx Offerings, and, if applicable, any authorized representatives, employees, agents, or affiliates acting on your behalf.
This Prohibited Use Policy is incorporated into the Copperx Terms of Service, your product-specific agreements with Copperx (if any), and any other agreements you enter into with us. Where product-specific restrictions conflict with this Prohibited Use Policy, the stricter rule applies.
- General Prohibitions
You should not use any Copperx Offerings in any manner that: (i) violates any applicable law, regulation, sanctions program; (ii) contravenes applicable payment network rules, partner requirements or Copperx policies; or (iii) circumvents limits, authentication, or risk-control measures imposed by Copperx or its partners.
- Sanctioned & Restricted Jurisdictions
You should not access or use Copperx Offerings if you are:

located in, a resident of or otherwise transacting with a country, territory, or entity subject to comprehensive sanctions or embargoes (including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, or Luhansk regions of Ukraine).

located in, or transacting with, jurisdictions that Copperx prohibits due to high money-laundering, fraud, or compliance risk, including but not limited to: Afghanistan, Belarus, Central African Republic, Democratic Republic of the Congo, Eritrea, Ethiopia, Guinea, Guinea-Bissau, Iraq, Lebanon, Libya, Mali, Myanmar, Nicaragua, Russia, Somalia, South Sudan, Sudan, Venezuela, Yemen, and Zimbabwe.

a person or entity named on any restricted party list issued by the United States, United Kingdom, European Union, United Nations, or other applicable jurisdiction.
- Prohibited Activities

You should not use any Copperx Offering for any activity that is unlawful, regulated without a license, or otherwise restricted by this Prohibited Use Policy. This includes: (i) the sale of illegal drugs or controlled substances without appropriate authorization or licensing; (ii) prostitution, unlawful adult services, human trafficking, or sexual exploitation; (iii) unlicensed gambling or wagering, including internet gambling where prohibited; (iv) the sale of unlicensed weapons, ammunition, explosives, or defense articles; (v) and dealing in stolen property or goods obtained through fraud.

You are prohibited from using any Copperx Offering for engaging in the sale or distribution of counterfeit goods or services, or the unlicensed distribution of copyrighted content, software, or media. You shall not engage in money laundering, terrorist financing, sanctions evasion, or other financial crimes. The use of cryptocurrency mixers, tumblers, privacy-enhancing coins where prohibited, or any similar service designed to obscure the origin of funds is strictly forbidden. Market manipulation, insider trading, fraudulent investment schemes, and structuring transactions to evade reporting or compliance requirements are also prohibited.

Certain activities are strictly prohibited outright, including: (i) unlicensed money services, currency exchange, or virtual asset brokerage; (ii) digital asset exchanges, secondary NFT marketplaces, initial coin offerings (ICOs), cryptocurrency wallets or exchanges not authorized by Copperx; (iii) high-yield investment programs; (iv) multi-level marketing schemes; (v) debt consolidation, debt settlement, credit repair or counselling services; (vi) bail bonds and collection agencies; (vii) precious metals, gems, or jewellery trading without proper licensing (see Section 3(d) for licensed cases); (viii) marijuana-related services; (ix) adult content businesses; (x) tobacco product sales; (xi) pharmaceutical or nutraceutical distribution without compliance approval (see Section 3(d) for licensed cases); (xii) unlicensed crowdfunding or fundraising platforms; (xiii) predatory or deceptive practices such as “get rich quick” schemes or negative-option marketing; (xiv) identity deception or fraudulent identity services; and (xv) any peer-to-peer money transmission without authorization.

Certain activities are not prohibited outright but may only be conducted using Copperx Offerings if you obtain our prior written approval and satisfy all applicable legal, licensing, and compliance requirements. These include but are not limited to: (i) licensed money services businesses, such as licensed remittance companies, money transmitters, and currency exchanges, including licensed virtual asset service providers; (ii) licensed financial services providers, including banks, broker-dealers, investment funds, and securities trading platforms; (iii) licensed precious metals, gems, and jewellery dealers; (iv) licensed pharmaceutical and nutraceutical businesses operating in compliance with applicable law; and (v) licensed gambling or wagering operators in jurisdictions where such activity is legal and compliant with regulatory requirements. Copperx may impose additional due diligence, monitoring, and transaction limits on any approved high-risk activity, and reserves the right to withdraw approval at any time.

You should not use Copperx Offerings to promote hate, violence, or discrimination, nor to produce, distribute, or facilitate content that exploits minors. You must not provide false, incomplete, or misleading information to Copperx or its partners, process transactions for undisclosed third parties, or use Copperx brands, trademarks, or other intellectual property without prior authorization.
- Monitoring & Enforcement
Copperx reserves the right to monitor transactions and activity for compliance with this Prohibited Use Policy and to request additional information, including proof of identity, beneficial ownership, source of funds, or transaction documentation. We may decline or reverse transactions, suspend or terminate access to Copperx Offerings, or take any other action we deem appropriate to address suspected violations or risks. We may report suspected or unlawful activity to law enforcement, regulators, or our partners, and seek to recover any losses, penalties, or costs resulting from your breach of this Prohibited Use Policy.
- Changes to this Prohibited Use Policy
We may update this Prohibited Use Policy at any time by posting a revised version on our website. Your continued use of Copperx Offerings after the effective date of an update constitutes your acceptance of the revised Prohibited Use Policy.

COPPERX CARD PROHIBITED USE ADDENDUM
For purposes of this Addendum to the Prohibited Use Policy (“Addendum”),
“Copperx Card” means any physical or virtual payment card issued under the Copperx brand, including co-branded or partner-branded cards, and made available through a Copperx Offering, whether issued in the United States or internationally.
“Issuer” means the regulated financial institution that issues any Copperx-branded card product to you. The specific Issuer for your card product will be identified in your applicable Cardholder Agreement.
“Cardholder Agreement” means the agreement between you and the Issuer that governs the terms and conditions of your Copperx-branded card, including permitted and prohibited uses, fees, and cardholder obligations.
- Relationship to the Cardholder Agreement
This Addendum supplements and should be read together with your Cardholder Agreement. In addition to the prohibitions set out in this Addendum and the Copperx Prohibited Use Policy, you must comply with all restrictions, limitations, and requirements described in your Cardholder Agreement, including any restrictions on types of transactions, geographic use, security obligations, and requirements to comply with all applicable laws and network rules. Where there is a conflict between this Addendum and your Cardholder Agreement, the stricter requirement will apply.
- Additional Copperx Card Specific Restrictions
In addition to the prohibitions set out in the Prohibited Use Policy, you may not use your Copperx Card for any transaction defined as a cash-like transaction in your Cardholder Agreement, unless expressly permitted by that agreement. This includes, without limitation: (i) the purchase of money orders, traveler’s checks, or foreign currency; (ii) wire transfers, money transfers, or account-funding transactions; (iii) the purchase of cryptocurrency or other digital assets outside Copperx-approved flows; (iv) the purchase of lottery tickets, casino chips, wagers, or gambling tokens; and (v) the use of third party bill payment services where payment is not made directly to the merchant.
You should not use the Copperx Card for internet gambling transactions where such activity is prohibited by law, the payment network, or the Issuer. Even if permitted, such transactions may be blocked by Copperx or its partners at their discretion.
- Compliance with Issuer and Network Rules
You must comply with your applicable Cardholder Agreement, the rules of the payment network associated with your Copperx Card, and any additional restrictions imposed by the Issuer. If there is a conflict between those rules and this Addendum, the stricter requirement applies.
- Enforcement
Copperx may block, reverse, or decline any Copperx Card transaction if it appears to violate the Prohibited Use Policy, including this Addendum, if it presents elevated fraud, chargeback, or compliance risk, or if you fail to provide requested information or verification.
