E-Sign & Electronic Communications Notice

This Electronic Communications & E-Sign Policy (“Electronic Communications Policy”) is part of the Copperx Terms of Service available at https://copperx.io/legal/terms (the “Terms of Service”) and applies to your use of the Copperx website available at https://copperx.io, any Copperx mobile applications, related media forms, media channels, mobile websites, software applications, dashboards, APIs, or other online or digital services (collectively, the “Platform”) provided by Piers Technology Inc. (“Copperx”, “we”, “us” or “our”) and all the products, services, features, technologies, and programs offered by Copperx on the Platform, whether offered directly by Copperx or in partnership with third-party providers (collectively, the “Copperx Offerings”). For purposes of this Electronic Communications Policy, “you”, “your” or “user” mean the individual or entity that accesses or uses the Platform or Copperx Offerings.

This Electronic Communications Policy explains how Copperx provides electronic communications (emails, in-Platform messages, dashboards, push notifications, SMS / WhatsApp, PDFs, web pages, and other digital notices) and how you consent to use electronic records & signatures for the Copperx Platform and Copperx Offerings. It also describes your choices, hardware/software requirements, and how to withdraw consent.

Capitalized terms not defined here have the meanings given in the Terms of Service, the Privacy Policy (the “Privacy Policy”), or the Prohibited Use Policy (the “Prohibited Use Policy”).

  1. Scope

This Policy governs all electronic communications between you and Copperx relating to your use of the Platform and any Copperx Offering. For clarity, certain Copperx Offerings are made available in partnership with third-party providers, such as financial institutions, payment processors, program managers, or other service partners. Those partners may provide their own required notices, disclosures, statements, or other communications directly to you, and such communications will be governed by the partner’s own terms and electronic communications policies.

For the Copperx Card specifically, certain communications are provided by Rain and/or the Copperx Cars issuer under Rain’s E-Sign & Electronic Communications Notice. You acknowledge that applying for or using the Copperx Card also constitutes your consent to Rain’s policy. This Electronic Communications Policy governs only Platform-level communications and Copperx-initiated notices, while Rain’s policy governs card-account disclosures.

Copperx does not control and is not responsible for the content, timing, or legal sufficiency of any third-party communications by Copperx’s partners under their respective electronic communications policies. Copperx’s role is limited to providing Platform-level notices relating to your Copperx Account and your use of the Copperx Offerings.

Electronic communications under this Electronic Communications Policy may include but are not limited to the Terms of Service, Privacy Policy, Prohibited Use Policy and any updates to them, confirmations or user restrictions, invoices, receipts or payout notifications (if applicable), compliance or KYC / KYB requests, Platform security and incident alerts, developer / API credential notices and rate-limit updates, and changes to this Electronic Communications Policy.

  1. Consent to Electronic Communications and Signatures

    2.1. Consent to receive electronic communications.

By using the Platform, creating or maintaining a Copperx Account or using any Copperx Offering, you consent to receive all communications from us (including agreements and policies, legally required disclosures including those relating to account activity or product features, transaction confirmations, and other information) in electronic form. Your consent to electronic delivery is required to create or keep a Copperx Account and to use the Platform and Copperx Offerings.

2.2. Forms of electronic communications.

Electronic communications from Copperx may be provided through: (i) email sent to your primary email address associated with your Copperx Account; (ii) Platform dashboard messages, banners or alerts displayed when you log in to your Copperx Account or access the Copperx Platform; (iii) In-app or mobile notifications within any Copperx mobile applications; (iv) Push notifications delivered to your registered device (where you have enabled them); (v) SMS, WhatsApp or similar messaging services (where you have opted in and provided a valid number); (vi) API responses or webhooks if you are a developer or enterprise user of Copperx APIs; (vii) posting to the Copperx website at https://copperx.io/ or to a specific webpage that we notify you about; or (viii) downloadable or viewable documents (for example, HTML or PDF files made available through the Platform).

A communication will be deemed delivered and received when it is made available by any of the above methods, regardless of whether you actually access or read it. It is your responsibility to regularly check your email, Platform dashboard, and other communication channels you have enabled, and to maintain accurate and up-to-date contact information in your Copperx Account.

You are responsible for ensuring that you can receive all electronic communications from us, including by maintaining accurate contact information in your Copperx Account and by configuring your email and messaging settings to accept communications from Copperx domains. We are not responsible for delivery failures caused by filters, firewalls, or outdated contact details.

2.3. Consent to Electronic Signatures.

You agree that electronic records and electronic signatures satisfy any “in-writing” and/or signature requirements and have the same legal effect as paper records and handwritten signatures, to the maximum extent permitted by applicable laws.

You may be asked to indicate your agreement by clicking “I agree”, checking a box, typing your name, using a designated acceptance mechanism in the Platform or by continuing to use the Platform or Copperx Offerings after notice of updated terms. Any such action constitutes your electronic signature and your consent to be legally bound.

2.4. Duration of Consent.

Your consent to receive electronic communications and to use electronic signatures remains in effect while you maintain a Copperx Account, access or use the Platform or any Copperx Offerings and thereafter for communications that we are required or reasonably elect to provide in connection with your prior access or use (including legal, regulatory, tax, compliance, collections, or dispute-related communications), unless and until you withdraw consent as described in this Electronic Communications Policy. If your Copperx Account is closed or later re-opened, or if you re-enroll in a Copperx Offering, your consent will continue or be deemed renewed upon re-enrollment. Consent granted to Copperx does not extend to any third-party partners of Copperx on any Copperx Offerings. The duration of your consent to such third-party partners on their communications is governed by their respective electronic communications policies.

2.5. Third-Party Partner Communications.

Certain Copperx Offerings are provided in partnership with third-party providers. Those third parties may send their own legally required notices, disclosures, or statements directly to you, and such communications will be governed by their respective electronic communications policies. Copperx may, as a convenience, display or relay those communications through the Platform, but Copperx acts solely as a conduit and is not responsible for the form, content, timing, or sufficiency of such third-party communications.

  1. Withdrawing Consent & Paper Copies

You may request paper copies of any communication we provide electronically by emailing [email protected]. We will provide paper copies of records we are legally required to deliver without charge. For other requests, we may charge a reasonable fee to cover printing and mailing costs.

You may withdraw your consent to receive electronic communications from Copperx at any time by emailing [email protected]. We will process your request within a reasonable period after receipt.

Because the Platform and Copperx Offerings are designed to operate electronically, withdrawal of consent may result in our inability to provide you with some or all services. We may suspend or terminate your Copperx Account or restrict access to certain Copperx Offerings if you withdraw consent, except to the extent that applicable law requires us to provide communications in another form.

Withdrawing your consent under this Electronic Communications Policy applies only to electronic communications from Copperx. Certain Copperx Offerings are provided in partnership with third-party providers. Such third-party providers may continue to send their own required notices, disclosures, or statements to you under their own terms and electronic communications policies. If you wish to withdraw consent from such third-party providers, you are required to follow their procedures separately. Copperx does not control, and is not responsible for, the form, timing, or content of such third-party communications.

  1. System Requirements

To access and retain electronic communications from Copperx, you must have the necessary hardware, software, and connectivity to support electronic delivery. At a minimum, this requires a computer, smartphone, or other device with reliable internet access and a current web browser that we support, such as the most recent or immediately prior major release of Chrome, Safari, Edge, or Firefox.

You must also maintain a valid email address and, if you choose to receive SMS or push notifications, a mobile device capable of receiving such messages. In order to download, view, and keep copies of records, you will need adequate storage capacity on your device as well as the ability to open common electronic file formats, such as HTML or PDF.

We recommend that you keep your device updated with the latest security patches and browser versions to ensure continued access. If these requirements change in a way that materially affects your ability to receive or retain electronic communications from us, we will notify you of the revised requirements and provide you with an opportunity to withdraw your consent without penalty.

  1. SMS / Text and Push Notifications

If you choose to opt in to receive SMS, text messages, or push notifications, you expressly consent to receive account-related and transactional communications from Copperx, which may include, without limitation, one-time passcodes (OTPs), multi-factor authentication prompts, security alerts, compliance or verification requests, account status updates, and other operational messages related to your use of the Platform or Copperx Offerings. Message and data rates from your mobile carrier may apply, and message frequency will vary depending on your activity and security settings.

You can opt out of receiving SMS or text messages at any time by following the instructions in the message (for example, by replying “STOP”), or by adjusting your account settings if such functionality is available. Opting out of SMS or push notifications may limit your ability to use certain features of the Platform or Copperx Offerings that rely on those communications (for example, two-factor authentication or real-time fraud alerts).

Marketing or promotional text messages, where permitted by law, will only be sent if you separately provide the required consent. Opting out of marketing messages will not affect your receipt of account-related or transactional messages, which are necessary for the security and operation of your Copperx Account. Copperx is not responsible for any delay or failure in the delivery of messages caused by your mobile carrier or by circumstances outside of Copperx’s control.

  1. Joint Communications

Certain Copperx Offerings are made available in partnership with third-party partners and providers. Such third-party partners may be legally or contractually required to send notices, disclosures, statements, or other communications directly to you (including for example, without limitation, transaction receipts, billing statements, collateral or repayment notices, adverse action letters, or regulatory disclosures).

Copperx may, as a convenience, display or relay some of these communications within the Platform (for example, in your dashboard or through APIs), but Copperx acts solely as a conduit and does not control the content, form, timing, or legal sufficiency of any communications originating from these third-party partners. Such communications are governed by the third-party’s own terms and electronic communications policies.

In the event of any inconsistency between a communication provided by Copperx and a communication provided by a third-party partner regarding the same Copperx Offering, the third-party partner’s communication and terms will control for matters within that partner’s responsibility. Copperx remains responsible only for Platform-level notices and communications relating to your Copperx Account and your use of the Platform.

  1. Records and Retention

Copperx maintains electronic records of your communications and activity on the Platform as permitted by applicable law, regulatory obligations, and the requirements of our third-party partners. These records may include agreements you accept electronically, notices we send to you, and confirmations or receipts generated through your use of the Copperx Offerings. We do not guarantee indefinite access to all historical records. Certain records may only be available for a limited period of time based on legal, regulatory, or operational requirements, after which they may be archived or deleted.

You are responsible for downloading, saving, or printing copies of important communications for your own files. Copperx is not obligated to provide historical copies of records beyond the periods required by law or partner requirements, except where we expressly agree or are legally required to do so.

The collection, storage, and use of records remains subject to the Copperx Privacy Policy, which describes how we handle personal data, how long we retain it, and with whom we may share it. In addition, where communications are provided by our third-party partners, their own retention policies and practices will apply.

  1. Accessibility

Copperx is committed to ensuring that our electronic communications are accessible to all users. If you are unable to access, view, or retain any communication in the standard electronic format we provide due to a disability, assistive technology requirements, or a local-language obligation, you may request that we provide the communication in an accessible or alternative format. To make such a request, please contact us at [email protected].

Upon receiving your request, we will work with you in good faith to identify a reasonable accommodation consistent with applicable law, regulatory requirements, and the obligations of our third-party partners. This may include providing communications in large print, alternative text formats, compatible screen-reader versions, or another format that enables effective access. Where local laws require communications in a particular language, we will comply with those obligations.

Please note that while Copperx will take reasonable steps to provide accessible formats, certain communications delivered directly by third-party partners may be subject to their own accessibility or language requirements. In such cases, we may direct you to the appropriate partner to fulfill your request.

  1. Changes to this Electronic Communications Policy

We may update or amend this Electronic Communications Policy from time to time to reflect changes in technology, legal or regulatory requirements, our business operations, or the Copperx Offerings. When we make changes, we will post the revised Policy on the Platform with a new “Last Updated” date at the top.

If we make a change that is material, for example, one that affects your rights or our obligations, we will also provide you with advance notice where required by law. Such notice may be delivered by email to the primary address in your Copperx Account, by an in-Platform banner or dashboard message, or by another reasonable method.

Your continued access to or use of the Platform or any Copperx Offering after the effective date of an updated Policy constitutes your acceptance of the revised terms. If you do not agree to a change, you may withdraw your consent as per this Electronic Communications Policy and stop using the relevant Copperx Offerings before the effective date of the change.

By creating your account on Copperx, you agree to our terms and conditions, our partners' terms, to all applicable laws and regulations, and agree that you are responsible for compliance with any and all applicable local laws.
