Stable Game: Copperx Points Program — Terms & Conditions

These Terms and Conditions ("Terms") govern your participation in the Copperx Points Program ("Program"), operated by Copperx Labs Inc. ("Copperx", "we", "our"). By participating in the Program, you accept these Terms. Please read them carefully.


1. Overview and Scope

1.1 Program. Copperx (“Copperx,” “we,” or “us”) offers a non-monetary rewards program called the Stable games: Copperx Points Season 2 (the “Program”). By enrolling in or otherwise using the Program, you (“you” or “Participant”) agree to these Terms & Conditions (these “Terms”), which form a legally binding agreement between you and Copperx.

1.2 Purpose. The Program is designed to reward eligible Participants for specified actions—such as product usage, community engagement, and referrals—by awarding points (“Points”). Points have no cash value but may later convert into protocol tokens or other non-cash benefits, as further defined herein.

1.3 Redemption. Points become redeemable only upon Copperx’s Token Generation Event (“TGE”) or other benefit-launch event, at Copperx’s sole discretion. Prior to such event, all redemption terms, token conversion formulas, vesting schedules, and utility rights (collectively, “Redemption Rules”) will be published by Copperx and shall form part of these Terms by reference.

1.4 Amendments. Copperx reserves the right to modify, suspend, or terminate the Program (in whole or in part), and to amend these Terms, at any time and without notice, provided that any material change will be communicated via the Program dashboard or to your registered e-mail address. Your continued participation after such notification constitutes your acceptance of the updated Terms.


2. Eligibility

2.1 Eligibility Criteria. To participate in the Program, you must, at all times:

(a) be at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts;

(b) hold a valid, active Copperx user or business account in good standing;

(c) not be located in, or a citizen or resident of, any jurisdiction in which participation in reward programs is prohibited by applicable law;

(d) not appear on any U.S. or foreign government sanctions, watch-lists, or denied-party lists; and

(e) have accepted these Terms and all other Copperx policies applicable to your account and use of the Copperx platform (including, without limitation, the Privacy Policy and Terms of Use).

2.2 Representations and Warranties. By enrolling in the Program, you represent and warrant that you meet each of the eligibility criteria in Section 2.1 now and throughout your participation. You further warrant that all information you provide to Copperx in connection with eligibility (e.g., age, residence) is true, complete and accurate.

2.3 Verification; Documentation. Copperx may, at any time and in its sole discretion, require you to provide documents or other evidence reasonably necessary to verify your eligibility (such as government-issued ID, proof of address, or self-certification). If you fail to timely furnish satisfactory evidence, Copperx may suspend or terminate your Program participation and forfeit any unredeemed Points.

2.4 Disqualification. Copperx reserves the right, in its sole discretion and without prior notice, to deny, suspend or revoke your participation in the Program—and to forfeit all Points you have earned—if you:

(a) no longer satisfy any eligibility criterion;

(b) breach these Terms or any other Copperx policies;

(c) provide false or misleading information; or

(d) otherwise act in a manner detrimental to the integrity of the Program.

2.5 Change of Circumstances. You must promptly notify Copperx if any information you provided in order to qualify for the Program changes in a manner that could affect your eligibility (e.g., change of residence to a prohibited jurisdiction, sanctions listing).

2.6 Survival. Sections 2.2, 2.4 and 2.5 shall survive termination of your participation in the Program.

2.7 Consent. By enrolling in or participating in the Program, you expressly consent to the collection, use, and disclosure of your personal information and activity data for purposes of administering, auditing, and enforcing the Program. You further acknowledge and agree that your participation constitutes your acceptance of and agreement to these Terms, which form a binding contract between you and Copperx.


3. Earning Copperx Points

3.1 Triggering Actions. Points are awarded only for verifiable actions designated by Copperx as “Triggering Actions.” Copperx maintains the exclusive right to define, modify, suspend or discontinue any Triggering Action, and to adjust its associated point value, at any time in its sole discretion. Updated lists of Triggering Actions and their point values shall be published in the Point System Dashboard within the Copperx application, and your continued participation after such publication constitutes acceptance of the changes.

3.2 Product Usage (Power Users).

(a) Eligible Actions. Points may be earned for prescribed product-usage behaviors—such as logging in, transacting, or utilizing advanced features—each as identified in the Dashboard.

(b) Measurement & Verification. Copperx’s internal systems will log and verify your product usage. Points will only be credited upon successful verification. Any system error, outage or logging failure is not grounds for awarding Points.

3.3 Community Engagement (PR Contributors).

(a) Eligible Actions. You may earn Points for social and content contributions, including without limitation:

• Liking, reposting, or commenting on official Copperx content;

• Creating original long-form posts (e.g. threads, deep dives, use cases);

• Publishing short-form videos (e.g. TikTok, Instagram Reels, YouTube Shorts); and

• Producing educational materials (e.g. tutorials, blog posts).

(b) Quality & Reach. Point awards for community contributions may be adjusted based on originality, creativity, engagement metrics and compliance with Copperx content guidelines. All content-based contributions are subject to manual review, and Copperx’s determination as to award amounts and eligibility is final.

3.4 Referrals and Growth (Distribution Agents).

(a) Eligible Actions. Points may be earned for:

• Referring new users or businesses that successfully register a valid Copperx account;

• Facilitating onboarding or warm introductions of qualified participants; and

• Driving any other qualifying growth actions as defined in the Dashboard.

(b) Future Affiliate Program. Copperx intends to launch a formal affiliate program—on-chain tracked, with revenue-share—under separate terms. In the interim, referral points will be credited at Copperx’s sole discretion based on verifiable referral data.

3.5 Disputes & Adjustments. Copperx reserves the right to audit, adjust or revoke any Points awarded, for any reason, including suspicion of abuse, system error or non-compliance with these Terms. All decisions regarding disputes over Point awards or balances are final and binding, and Copperx shall have no liability for any adjustments.


4. Points Utility & Conversion

4.1 No Cash Value; Conditional Utility.

(a) Points are a non-monetary accounting mechanism and have no intrinsic or cash value prior to conversion.

(b) Points confer no rights or claims in any Copperx assets, equity, or revenues except as expressly set forth in these Terms.

4.2 Conversion at Token Generation Event (TGE).

(a) Subject to Copperx’s completion of a Token Generation Event (“TGE”), and provided you remain an eligible Participant in good standing, Points may convert into protocol tokens (the “Tokens”) or other utility benefits on a one-to-one basis (1 Point = 1 Token), subject to adjustment by Copperx in its sole discretion (“Conversion Ratio”).

(b) The TGE timing, Conversion Ratio, any vesting schedule, lock-up, or cliff, and all other terms of Token distribution (“Conversion Terms”) will be published in writing prior to the TGE and shall be binding on all Participants.

(c) Copperx reserves the right to delay, cancel, or modify the TGE or Conversion Terms for any reason, including regulatory requirements, market conditions, or strategic considerations.

4.3 Token Supply & Points Pool.

(a) Total Token Supply: 1,000,000,000 (one billion) Tokens.

(b) Season 2 Points Pool: 100,000,000 (one hundred million) Tokens reserved for Points conversion.

(c) A subset of up to 10% of Total Token Supply may be allocated for Points-based airdrops during the TGE window (“Airdrop Pool”), subject to Copperx’s final determination

4.4 Airdrop Policy. Copperx reserves 5 %–10 % of the Total Token Supply for direct airdrops to Points holders during the TGE window. Eligibility criteria, distribution schedules, and any prerequisites for such airdrops will be set forth in the Conversion Rules.

4.5 Additional Token Utilities.

Tokens issued upon conversion may carry rights to governance participation, access to premium features within the Copperx ecosystem, discounted fees, or other in-app benefits (collectively, “Utilities”). Utilities and eligibility criteria will be defined and published by Copperx no later than the TGE date.

4.6 No Guarantee of Liquidity or Listing.

Copperx makes no representation or warranty regarding the future market price, tradability, liquidity, or exchange listing of any Tokens. Participants acknowledge and accept all market risks associated with holding and trading Tokens.

4.7Expiration and Forfeiture.

(a) Points not converted or claimed within any prescribed TGE redemption window shall expire and be forfeited without compensation.

(b) Expired or forfeited Points may be burned, reallocated, or otherwise disposed of by Copperx in its sole discretion.

4.8 Taxes and Reporting.

Participants are solely responsible for any tax liabilities arising from Points accrual, Token conversion, or receipt of Utilities. Copperx may provide informational tax documentation where required by law but does not assume responsibility for a Participant’s tax obligations.

4.9 Amendments.

Copperx may amend, supplement, or replace any provision of this Section 4 (including Conversion Ratio, Token Supply, Utilities, and expiration rules) at any time by posting updated terms to the Program Dashboard or by e-mailing registered Participants at least fifteen (15) days prior to the effective date of such amendment. Continued participation after the effective date constitutes acceptance of the revised terms.


5. Expiration & Vesting

5.1 Expiration of Points.

(a) All Points must be claimed and submitted for conversion in accordance with the Conversion Terms published prior to the TGE. Points not claimed or submitted within the prescribed redemption period shall automatically expire and be forfeited without compensation.

(b) Copperx shall have no obligation to notify Participants of impending expiration beyond the notice provided in Section 4.8.

5.2 Vesting of Converted Tokens.

(a) Any Tokens issued upon conversion of Points may be subject to a vesting schedule, lock-up period, or cliff provision as set forth in the Conversion Terms.

(b) Vesting shall be measured from the date of Token issuance, and unvested Tokens shall not be transferable, sellable, or otherwise encumbered until fully vested in accordance with the published schedule.

5.3 Forfeiture and Burn.

(a) Expired Points and any corresponding unvested Tokens shall be irrevocably forfeited by the Participant.

(b) Copperx reserves the right to burn, reallocate, or otherwise retire forfeited Points and Tokens, in whole or in part, at its discretion.

5.4 Participant Obligations.

(a) Participants remain responsible for monitoring all redemption deadlines and vesting milestones.

(b) Copperx shall not be liable for any Participant’s failure to claim Points or comply with vesting requirements.

5.5 Amendments to Expiration & Vesting Rules.

Copperx may amend this Section 5 by publishing updated expiration or vesting rules in the Program Dashboard or via e-mail to Participants at least fifteen (15) days prior to the effective date. Continued participation after the effective date constitutes acceptance of the revised rules.


6. Disqualification & Reward Forfeiture

6.1 Disqualification Events.

Copperx may, in its sole discretion and without prior notice, disqualify a Participant from the Program and/or forfeit any accrued Points (in whole or in part) if the Participant:

(a) breaches these Terms or any other Copperx policy;

(b) becomes delinquent or has overdue payment obligations to Copperx;

(c) engages in prohibited activities under Section 7 (Anti-Gaming) or otherwise manipulates, hacks, or exploits the Program;

(d) acts in bad faith, including fraud, misrepresentation, or abuse of the Points system; or

(e) is suspended, barred, or restricted by any regulatory authority from participating in reward programs.

6.2 Effect of Disqualification.

Upon disqualification, Copperx may immediately (and without liability):

(a) revoke, suspend, or freeze all unredeemed Points;

(b) cancel any pending redemption requests; and/or

(c) block the Participant from earning or redeeming Points in the future.

6.3 Restoration of Points.

(a) If disqualification resulted from a curable event (e.g. payment default cured), Copperx may, in its sole discretion, restore forfeited Points and Program access once the Participant demonstrates full compliance.

(b) Any restored Points remain subject to all applicable expiration, vesting, and redemption rules then in effect.

6.4 No Transfer of Forfeited Points.

Forfeited Points shall be retired, reallocated, or burned at Copperx’s discretion and may not be transferred, assigned, pledged, or otherwise conveyed by any Participant.

6.5 Survival.

Sections 6.2, 6.3, and 6.4 shall survive the termination or expiration of a Participant’s enrollment in the Program.

6.6 Amendments.

Copperx may amend this Section 6 by posting updated disqualification and forfeiture rules to the Program Dashboard or by e-mailing registered Participants at least fifteen (15) days prior to the effective date. Continued participation after such date constitutes acceptance of the revised rules.


7. Anti-Gaming Policy

7.1 Prohibited Conduct.

Participants must not, whether directly or indirectly, engage in any form of “gaming,” defined as any attempt to manipulate, circumvent, or exploit the Program’s rules to accrue Points through fraudulent, deceptive, or unfair means, including but not limited to:

(a) creating multiple, duplicate, or fictitious accounts (Sybil attacks);

(b) employing automated scripts, bots, or “interaction farming” tools to generate Triggering Actions;

(c) submitting fake, plagiarized, or otherwise inauthentic content designed solely to inflate engagement metrics;

(d) self-referrals, circular referrals, or other referral loops that do not result in bona fide onboarding; and

(e) any other conduct Copperx reasonably determines to be abusive or contrary to the spirit of fair participation.

7.2 Monitoring & Enforcement.

Copperx employs both automated detection systems and manual review processes to monitor for prohibited conduct. Copperx reserves the right to:

(a) audit Participant accounts and activity at any time;

(b) request evidence substantiating claimed Triggering Actions; and

(c) engage third-party fraud-prevention services to validate Participant behavior.

7.3 Remedial Actions.

If Copperx determines, in its sole discretion, that a Participant has engaged in prohibited conduct, Copperx may, without prior notice and without liability to the Participant:

(a) suspend or terminate the Participant’s Program participation;

(b) freeze, reduce, or revoke any unredeemed Points;

(c) cancel or reverse any Points already converted or redeemed; and

(d) bar the Participant from future enrollment or Benefits under the Program.

7.4 Appeals Process.

Disqualified Participants may submit a written appeal to [email protected] within thirty (30) days of notice of remedial action. Appeals must include a detailed explanation and any supporting evidence. Copperx will review appeals in good faith and respond within a reasonable period, which decision shall be final and binding.

7.5 No Liability.

Copperx shall not be liable for any losses, damages, or costs incurred by Participants as a result of enforcement actions taken under this Section 7, including any suspension or forfeiture of Points.

7.6 Survival.

Sections 7.2, 7.3, and 7.5 shall survive termination or expiration of a Participant’s Program participation.

7.7 Amendments.

Copperx may amend this Section 7 by posting updated Anti-Gaming rules to the Program Dashboard or by e-mailing registered Participants at least fifteen (15) days prior to the effective date. Continued participation after such date constitutes acceptance of the revised rules.


8. Program Modifications & General Terms

8.1 Program Modifications.

Copperx reserves the right, at any time and in its sole discretion, to add to, delete from, or otherwise modify the Program, including without limitation:

(a) the reward logic and Point values;

(b) eligibility criteria;

(c) the Program’s structure, pillars, or mechanics; and

(d) these Terms and Conditions.

8.2 Notice of Changes; Acceptance.

(a) Any material changes will be communicated to Participants via the Program Dashboard, e-mail to the address on file, or other official Copperx channels.

(b) Updated Terms shall be effective upon posting. Your continued enrollment in or use of the Program after the effective date constitutes your acceptance of the revised Terms.

8.3 Non-Waiver.

No failure or delay by Copperx in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any other or further exercise of that right or the exercise of any other right.

8.4 Assignment.

Copperx may assign or delegate all or any portion of its rights or obligations under these Terms at any time without notice. You may not assign, transfer, or delegate your rights or obligations hereunder, whether by operation of law or otherwise.

8.5 Non-Transferability of Participation & Rewards.

Your Program participation, Points, and any rights to conversion or benefits are personal to you. You may not sell, gift, pledge, transfer, or otherwise dispose of your Points or any Program rights.

8.6 Third-Party Claims.

Copperx shall not be liable for any claims, losses, liabilities, or damages arising from or related to your participation in the Program at the hands of any third party, including without limitation other Participants.


9. Limitation of Liability and Indemnity

9.1 Disclaimer of Warranties.

THE PROGRAM, POINTS, TOKENS, AND ANY RELATED MATERIALS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. COPPERX DOES NOT WARRANT THAT THE PROGRAM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.2 Limitation of Liability.

(a) TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COPPERX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF DATA, OR INTERRUPTION OF BUSINESS) ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR PARTICIPATION IN THE PROGRAM, EVEN IF COPPERX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) COPPERX’S AGGREGATE LIABILITY FOR DIRECT DAMAGES UNDER OR RELATING TO THESE TERMS OR YOUR PARTICIPATION IN THE PROGRAM SHALL NOT EXCEED THE FAIR MARKET VALUE OF THE POINTS YOU SUCCESSFULLY REDEEMED OR CONVERTED DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR US$100, WHICHEVER IS LESS.

9.3 Indemnification.

You agree to defend, indemnify, and hold harmless Copperx and its officers, directors, employees, agents, and affiliates (each, an “Indemnified Party”) from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees and related costs) arising out of or in connection with:

(a) your breach of these Terms or any other Copperx policy;

(b) your gross negligence, willful misconduct, or fraud in connection with the Program;

(c) your violation of any applicable law or regulation;

(d) your misuse of Points, Tokens, or Program-related materials; or

(e) any third-party claim relating to your Program participation, content you submit, or any act or omission by you.

9.4 Survival.

The provisions of this Section 9 shall survive any suspension, termination, or expiration of your participation in the Program or these Terms.


10. Privacy

10.1 Applicability of Privacy Policy.

Your participation in the Program is governed by the Copperx Privacy Policy, available at “Privacy Policy”.

10.2 Consent to Data Collection & Use.

By enrolling in or participating in the Program, you expressly consent to Copperx’s collection, use, and disclosure of your personal information and activity data as set forth in the Privacy Policy and for the following purposes:

(a) Program administration and operation;

(b) communications regarding your Points balance, Program updates, and support;

(c) verification of Triggering Actions and prevention of fraud or abuse; and

(d) reporting and compliance with applicable laws and regulations.

10.3 Data Sharing.

Copperx may share your data with its affiliates or third-party service providers as described in the Privacy Policy solely to the extent necessary to operate and enforce the Program (e.g., fraud-prevention vendors, analytics providers, and legal or regulatory authorities).

10.4 Data Retention.

Your personal and usage data will be retained in accordance with the Privacy Policy and applicable laws, but in no event longer than necessary to fulfill the purposes outlined in Section 10.2 or to comply with legal obligations.

10.5 Participant Rights.

You may exercise any rights concerning your personal data (access, correction, deletion, objection, etc.) as detailed in the Privacy Policy.


11. Legal & Regulatory Disclosures

The legal landscape around digital assets is evolving. Jurisdictional laws may impact program availability or structure. You are responsible for ensuring compliance. Seek legal counsel if unsure.

11.1 Evolving Regulatory Environment.

The legal and regulatory framework governing digital assets, reward programs, and token offerings is rapidly evolving worldwide. Copperx makes no representation that the Program, Points, Tokens, or any related activities will be permissible under the laws of your jurisdiction.

11.2 Jurisdictional Restrictions.

(a) Participation in the Program may be restricted or prohibited in certain countries, states, or regions. Copperx reserves the right to block or limit Program access based on your location or any changes in applicable law.

(b) It is your sole responsibility to ensure that your participation is lawful in your jurisdiction. Copperx disclaims all liability for your failure to comply with local regulations.

11.3 Participant Compliance.

By participating, you represent that you are neither subject to nor engaged in any legal prohibition that would prevent your participation; and you agree to comply with all laws, regulations, rules, and regulatory guidance applicable to your participation (including, without limitation, tax, securities, anti-money-laundering, and data-privacy laws).

11.4 No Legal, Tax, or Financial Advice.

Copperx does not provide legal, tax, or investment advice in connection with the Program, Tokens, or any related activities. You should seek professional advice from qualified counsel in your jurisdiction before participating.

11.5 Regulatory Changes & Program Suspension.

Copperx may, at any time and without liability, suspend, modify, or terminate the Program (or any portion thereof) if required by any applicable law, regulation, or governmental order.

11.6 Survival.

The provisions of this Section 11 shall survive any termination or expiration of your participation in the Program or these Terms.


12. Defined Terms

For purposes of these Rules, the following capitalized terms have the meanings set forth below:

  • Account Your registered Copperx user or business profile through which you access and participate in the Program.
  • Point A non-monetary, non-transferable unit of account awarded to Participants for completing Triggering Actions, as specified in the Program Dashboard.
  • Reward Any benefit, including protocol Tokens, in-app utilities, governance rights, or other privileges, that become available upon redemption or conversion of Points in accordance with these Terms.
  • Participant Any individual or entity that meets the eligibility requirements, has registered for the Program, and maintains an active Account in good standing.
  • TGE The Token Generation Event, i.e. the initial issuance or distribution of protocol Tokens by Copperx, at which Points may be converted into Tokens under the Conversion Terms.
  • Rules These Terms & Conditions, as may be amended from time to time, governing the operation of the Copperx Points Program.

13. Governing Law

These Rules and any disputes arising out of or related to the Program shall be governed by, and construed in accordance with, the laws of the jurisdiction in which Piers FZCO is registered, without regard to its conflict-of-law principles.

Participants agree that any action or proceeding arising out of or related to these Rules shall be brought exclusively in the courts located in that jurisdiction, and each Participant irrevocably consents to the personal jurisdiction of and venue in those courts.


14. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to render it valid and enforceable; if no such modification is possible, that provision shall be deemed severed from these Terms and the remaining provisions shall continue in full force and effect.


15. Entire Agreement

These Terms, together with any Redemption Rules, Privacy Policy, and other Copperx policies expressly incorporated herein by reference, constitute the entire agreement between you and Copperx with respect to the Program, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Program.


16. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms (other than payment obligations) to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, flood, fire, earthquake, storm, hurricane or other natural disaster, epidemic, pandemic, war, terrorism, riot or other civil unrest, government order or regulation, labor dispute, interruption or failure of utilities or telecommunications, or cyberattack (“Force Majeure Event”). The affected party shall (a) promptly notify the other party of the Force Majeure Event, (b) use reasonable efforts to mitigate its effects, and (c) resume performance as soon as reasonably practicable after the Force Majeure Event ceases. If a Force Majeure Event prevents performance for more than thirty (30) days, Copperx may terminate the Program or suspend your participation without liability.
